Legal Certainty of Pelindo’s Land Management Rights in Port Development
Abstract
This study examines legal issues concerning land control by State-Owned Enterprises (SOEs), particularly PT Pelabuhan Indonesia (Persero) (Pelindo), in port development and expansion. Although Pelindo often undertakes land acquisition or reclamation using internal funds, such land is commonly transferred to the Ministry of Transportation (MoT) as the holder of Land Management Rights (HPL). This practice results in legal uncertainty for Pelindo in managing the land and engaging in business partnerships. This study aims to assess the legal certainty of Pelindo’s Land Management Rights in port development. Employing a normative juridical approach, the study analyzes legislation in the fields of land law, shipping, and state-owned enterprises. The findings reveal that, under the Land Acquisition Law and Government Regulation No. 18 of 2021, Pelindo faces legal uncertainty despite financing land acquisition with internal funds. Legally, the party that acquires land and maintains a legal relationship with it is entitled to the rights over such land. Accordingly, the transfer of land to the MoT is not mandatory, except where acquisition is funded by the State Budget (APBN). The study recommends regulatory harmonization, the granting of HPL in Pelindo’s name, revision of concession agreements, and strengthening Pelindo’s legal position to ensure legal certainty.
