Legal Consequences of Limited Partnership (CV) Not Registered in the Online General Legal Administration System (AHU)

Abstract

This study aims to analyze the legal provisions regarding the obligation to electronically register CVs and the civil consequences for entities that fail to comply. This study is a normative legal study with a descriptive analytical nature. The approaches used include a statute approach and a conceptual approach, which are based on primary, secondary, and tertiary legal materials, and are analyzed qualitatively normatively using a deductive conclusion method. The results of the study conclude that failure to register a CV triggers three fatal legal consequences: (1) degradation of civil status that undermines the principle of limited liability, so that debts burden the personal assets of limited partners; (2) loss of exclusive rights to the company nomenclature; and (3) the CV loses its legal capacity to issue or renew its Business Identification Number (NIB) due to automatic blocking in the OSS-RBA licensing system.
