Legal Protection of Minority Shareholders in Notarial Deeds of General Meetings of Shareholders

Abstract


Minority shareholders in a Limited Liability Company are vulnerable to the actions or decisions of majority shareholders that could potentially disregard their legal rights. This study aims to analyze the form of legal protection for minority shareholders and the strategic role of Notaries in ensuring the fulfillment of these rights, especially in PT Pollux Hotels Group Tbk. The research method used is normative juridical with a statute approach, a conceptual approach, and a case approach. The results of the study indicate that legal protection for minority shareholders is realized through the granting of information rights, voting rights, and the position of Notarial Deeds as authentic evidence that provides legal certainty. Notarial Deeds function as preventive instruments that validate procedures and transparency, in order to mitigate potential oppression by controlling shareholders.
